Terms of Service

Our agreement with you. Last updated February 11, 2026.

1. Definitions

  • "Service" — Cuneiform Chat platform at cuneiform.chat
  • "We/Us/Our" — Cuneiform Chat, operated by 4bd Technologies
  • "You/Your" — The individual or entity using the Service
  • "Organization" — Your account workspace within the Service
  • "Agent" — AI-powered chatbot created within the Service
  • "Knowledge Base" — Content used to train your Agents, including documents, websites, and other data sources
  • "End User" — Anyone interacting with your Agents
  • "Channel" — Integrated messaging platforms (WhatsApp, Messenger, Telegram, Discord, Slack, etc.)
  • "AI Output" — Any text, response, recommendation, or content generated by an Agent through the Service, including chat responses, summaries, and suggested actions
  • "Platform Safety Measures" — Automated rules and guardrails applied by the Service to Agent responses, designed to promote accuracy and safety but not guaranteed to prevent all undesirable outputs
  • "High-Risk Use" — Any use of the Service where AI Output could directly result in physical harm, legal consequences, financial loss, or deprivation of rights to individuals
  • "Tenant Content" — All data, documents, configurations, system prompts, and Knowledge Base materials provided by You for use within the Service
  • "Channel Platform" — Any third-party messaging or communication platform through which Agents interact with End Users, including WhatsApp, Telegram, Discord, Slack, Google Chat, and Meta Messenger
  • "Storage Integration" — Third-party file storage services connected to the Service for Knowledge Base synchronization, including Google Drive, Dropbox, OneDrive, and Box
  • "Applicable AI Laws" — Any laws, regulations, directives, or binding guidelines governing the development, deployment, or use of artificial intelligence systems in any jurisdiction where You or Your End Users operate, including but not limited to the EU AI Act, state-level AI regulations, and sector-specific AI guidelines
  • "Professional Advice" — Guidance that requires licensure, certification, or professional qualification to legally provide, including but not limited to legal advice, medical diagnosis, financial advisory, tax preparation, and therapy or counseling

2. Service Description

Cuneiform Chat is a B2B SaaS platform for creating, deploying, and managing AI-powered chatbots. Features may include agent building, document processing, channel integrations, analytics, and team collaboration—subject to your subscription tier.

The Service is provided exclusively for lawful business purposes.

3. Account Registration

To use the Service, you must be at least 18 years old and have authority to enter into these Terms. You agree to provide accurate information and maintain account security.

You are responsible for all activities under your account and must notify us of any unauthorized use. Creating multiple Organizations to circumvent limits is prohibited.

4. Multi-User Access & Teams

Organization administrators may invite additional users. By inviting someone, you represent you have authority to grant access and their use will comply with these Terms.

Roles (Organization Admin, Member) have different permission levels. Team member limits depend on your subscription tier. The Organization administrator is responsible for all team member actions.

5. Subscriptions & Billing

The Service offers subscription tiers with varying features and usage allowances. Paid subscriptions are billed on a recurring basis and automatically renew unless cancelled.

Payments are processed through third-party providers. We do not store complete payment card details. We may modify pricing with notice; continued use constitutes acceptance.

Failed payments may result in service limitations or suspension until resolved.

6. Usage & Credits

Service usage may be measured through a credit system. Credits are consumed when using features such as AI queries, document processing, and embedding generation. Allocations vary by tier and reset each billing period.

If credits are exhausted, functionality may be limited until replenished through renewal, upgrade, or additional purchase. Credits have no cash value, cannot be transferred, and expire at period end unless otherwise specified.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You may not:

  • Upload or distribute illegal, infringing, harmful, or abusive content
  • Transmit malware, spam, or phishing content
  • Attempt unauthorized access or disrupt Service integrity
  • Reverse engineer, circumvent limits, or resell the Service
  • Use AI features to deceive, create harmful content, or violate third-party AI provider terms
  • Use the Service for high-risk activities where failure could cause significant harm

AI-Specific Prohibited Conduct

In addition to the above, you specifically may not:

  • Configure Agents to impersonate real individuals, organizations, or government entities
  • Use Agents to generate, store, or distribute content that exploits or harms minors
  • Deploy Agents that provide Professional Advice without appropriate disclaimers and human oversight
  • Use the Service to generate misleading political content, deepfakes, or disinformation
  • Configure Agents to circumvent or instruct End Users to circumvent any third-party platform's terms of service
  • Use the Service to conduct surveillance, profiling, or social scoring of individuals
  • Deploy Agents that collect sensitive personal data (health, biometric, financial, racial/ethnic) from End Users without explicit consent and a lawful basis
  • Configure Agents to make automated decisions that produce legal effects or similarly significant effects on individuals without meaningful human oversight
  • Use the Service for spam, unsolicited messaging, or automated outreach in violation of applicable anti-spam laws

Knowledge Base Prohibited Content

You may not upload to your Knowledge Base:

  • Content that infringes third-party intellectual property rights
  • Confidential or trade-secret material belonging to third parties without authorization
  • Personally identifiable information of individuals without a lawful basis for processing
  • Content designed to train Agents to bypass Platform Safety Measures
  • Malicious prompt injection payloads or instructions designed to override system-level guardrails

Channel-Specific Obligations

  • When deploying Agents on Channel Platforms, You must comply with that platform's developer terms, acceptable use policies, and content policies
  • You are responsible for ensuring Agent behavior complies with WhatsApp Business Policy, Meta Platform Terms, Telegram Bot Terms, Discord Developer Terms, Slack API Terms, and Google Chat policies, as applicable
  • Violations of Channel Platform terms that result in suspension or penalties are Your sole responsibility

We may investigate violations and take action including content removal, account suspension, or reporting to authorities.

8. Prohibited High-Risk Uses

  • Medical & Health: Using Agents to provide medical diagnoses, treatment recommendations, mental health assessments, drug interaction advice, or any output intended to substitute for consultation with a licensed healthcare provider
  • Legal: Using Agents to provide legal advice, draft binding legal documents, interpret statutes or case law for specific situations, or represent that AI Output constitutes the advice of a licensed attorney
  • Financial & Tax: Using Agents to provide personalized investment advice, tax filing recommendations, credit decisions, insurance underwriting assessments, or any output requiring licensure as a financial advisor, CPA, or similar professional
  • Critical Infrastructure: Using Agents to control, manage, or make decisions regarding critical infrastructure including energy systems, water treatment, transportation, emergency services, or telecommunications
  • Autonomous Decision-Making: Using Agents to make fully automated decisions that determine eligibility for employment, housing, credit, insurance, education, or public benefits without meaningful human review
  • Law Enforcement & Justice: Using Agents for predictive policing, criminal risk assessment, bail or sentencing recommendations, or any use within the criminal justice system that affects individual liberty
  • Child Safety: Any use of Agents directed at children under 13 (or the applicable age of digital consent in Your jurisdiction), or any use involving the processing of children's personal data
  • Weapons & Dangerous Activities: Using Agents to provide instructions for creating weapons, explosives, controlled substances, or engaging in activities that pose a direct risk of physical harm
  • Deception: Deploying Agents that present AI Output as human-generated when interacting with End Users, or using Agents to create synthetic media (deepfakes) without clear disclosure

We reserve the right to immediately suspend or terminate access upon discovery of any High-Risk Use, without prior notice and without refund.

9. AI-Generated Content

The Service uses AI models from third-party providers. AI systems may produce incorrect, inconsistent, or unexpected responses. AI outputs should not be relied upon for medical, legal, financial, or other professional advice.

You acknowledge that AI models are probabilistic systems that generate responses based on statistical patterns. AI Output may contain factual errors, logical inconsistencies, outdated information, biased perspectives, or fabricated citations (commonly known as "hallucinations"). The likelihood and severity of such errors varies and cannot be predicted or eliminated.

You are responsible for your Agents' configuration and behavior, implementing appropriate oversight, and disclosing to End Users they are interacting with AI.

You agree to implement appropriate review processes for AI Output before it reaches End Users in high-stakes contexts, including but not limited to: customer commitments, pricing or contractual terms, regulatory or compliance statements, health or safety information, and any context where errors could cause material harm.

WE MAKE NO WARRANTIES REGARDING AI OUTPUT ACCURACY OR SUITABILITY. AI OUTPUTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

10. Platform Safety Measures & Their Limitations

What We Do

The Service applies mandatory, hardcoded Platform Safety Measures to all Agent responses at runtime. These measures are designed to:

  • Instruct AI models to avoid fabricating facts, numbers, dates, or citations not present in the Knowledge Base
  • Instruct AI models to resist prompt injection, authority spoofing, and embedded meta-instructions
  • Instruct AI models to refuse harmful content including self-harm, explicit material, and fraudulent content
  • Instruct AI models to refuse impersonation of licensed professionals (attorneys, doctors, CPAs, financial advisors)
  • Instruct AI models to acknowledge information gaps rather than speculate
  • Instruct AI models to identify and address false premises in End User queries

Platform Safety Measures operate independently of Tenant configuration and cannot be disabled by Tenants, Agents, or End Users.

Limitations You Must Understand

  • No safety measure is infallible. Despite our best-effort guardrails, AI models may produce outputs that circumvent, contradict, or fail to trigger these safety measures.
  • Novel attack vectors. Adversarial techniques for manipulating AI systems evolve continuously. We cannot guarantee protection against all current or future manipulation methods.
  • Context-dependent failures. Safety measures may be less effective with certain languages, cultural contexts, domain-specific terminology, or complex multi-turn conversations.
  • Third-party model behavior. AI outputs are generated by third-party models (OpenAI, Anthropic, Google, Cohere). We do not control these models' training data, capabilities, failure modes, or updates.
  • Not a substitute for human oversight. Platform Safety Measures are a supplementary layer of protection, not a replacement for Your obligation to review Agent behavior and implement appropriate human oversight.

WE MAKE NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, THAT PLATFORM SAFETY MEASURES WILL PREVENT ALL INACCURATE, HARMFUL, BIASED, OR OTHERWISE UNDESIRABLE AI OUTPUTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Tenant Responsibility for Agent Behavior

  • Configuration responsibility: You are solely responsible for the configuration, behavior, and outputs of Agents created within Your Organization, including system prompts, persona settings, Knowledge Base content selection, and channel deployment decisions.
  • Monitoring obligation: You agree to regularly monitor Agent conversations and performance, and to promptly address any Agent behavior that is inaccurate, harmful, or inconsistent with Your intended use case.
  • End User interactions: You are responsible for all interactions between Your Agents and End Users, including the accuracy of information provided, promises or commitments made, data collected, and any harm caused by AI Output.
  • Escalation mechanisms: Where Agents are deployed in customer-facing contexts, You are expected to provide End Users with a clear and accessible mechanism to reach a human representative.
  • Multi-user accountability: If You grant team members access to configure Agents, You remain responsible for all Agent behavior resulting from their configurations, regardless of the individual who made the change.
  • Account security: You are responsible for securing Your account credentials, enabling appropriate access controls, and ensuring that only authorized personnel can configure Agents and access Tenant Content. Unauthorized access resulting from Your failure to secure credentials is Your responsibility.
  • Downstream liability: You acknowledge that claims, disputes, or regulatory actions arising from Your Agents' interactions with End Users are Your responsibility, not Ours.

12. Knowledge Base Content Responsibility

  • Ownership and rights: You represent and warrant that You own or have obtained all necessary rights, licenses, and permissions to upload, process, and use all content in Your Knowledge Base, including documents from connected Storage Integrations (Google Drive, Dropbox, OneDrive, Box).
  • Accuracy: You are solely responsible for the accuracy, completeness, and currency of Knowledge Base content. AI Outputs are directly influenced by the quality of Your Knowledge Base; inaccurate source material will produce inaccurate Agent responses.
  • Lawfulness: You represent that Your Knowledge Base does not contain content that violates applicable laws, infringes intellectual property rights, or constitutes defamation, hate speech, or otherwise unlawful material.
  • Sensitive data: If Your Knowledge Base contains personal data, health information, financial records, or other sensitive data, You are responsible for ensuring that such data is processed in compliance with applicable data protection laws and that Your Agents do not inappropriately disclose such data to End Users.
  • Third-party content: When connecting Storage Integrations, You are responsible for ensuring that synchronized content complies with the applicable storage provider's terms of service and that You have authorization to use such content for AI training purposes.
  • No review obligation: We do not review Knowledge Base content for accuracy, legality, or appropriateness. You acknowledge that the Service processes Your content as provided, without verification.

13. End User Disclosure Requirements

  • Mandatory AI disclosure: You must clearly and conspicuously disclose to End Users that they are interacting with an AI-powered system, not a human. This disclosure must be provided before or at the beginning of the interaction.
  • Limitation disclosures: You must inform End Users that AI Outputs may contain errors and should not be relied upon as Professional Advice.
  • Consumer protection: Where applicable, You must comply with consumer protection laws regarding automated communications, including disclosures required by the FTC Act, Consumer Rights Act, EU Consumer Rights Directive, and equivalent laws in Your jurisdiction.
  • Channel-specific requirements: Certain Channel Platforms have their own AI disclosure requirements. You are responsible for complying with disclosure requirements specific to WhatsApp, Telegram, Discord, Slack, Google Chat, and Meta Messenger.
  • Data collection transparency: If Your Agents collect personal data from End Users (names, email addresses, phone numbers, preferences), You must provide End Users with adequate privacy notices and obtain consent where required by law.
  • Record keeping: You are encouraged to maintain records of Your AI disclosure practices to demonstrate compliance with applicable laws and regulations.

14. Regulatory & Compliance Obligations

  • Your compliance responsibility: You are solely responsible for determining whether and how the Service may be used in compliance with all applicable laws and regulations in Your jurisdiction and the jurisdictions of Your End Users.
  • Industry-specific regulations: If You operate in a regulated industry (such as healthcare, financial services, legal, education, or government), You are responsible for ensuring Your use of the Service complies with all applicable sector-specific regulations.
  • Data protection laws: You are responsible for compliance with applicable data protection and privacy laws in connection with data collected by or processed through Your Agents, including obtaining appropriate legal bases for processing and fulfilling data subject rights.
  • AI-specific regulations: You must comply with Applicable AI Laws in any jurisdiction where You or Your End Users operate, including requirements for transparency, human oversight, and risk assessments.
  • Export controls: You must comply with applicable export control and sanctions laws when deploying Agents that may interact with individuals in sanctioned jurisdictions.

The Service is a general-purpose AI platform and is not designed to meet the requirements of any specific regulatory framework. We do not certify that use of the Service satisfies any particular compliance obligation. You should consult qualified legal counsel regarding Your specific compliance requirements.

15. Data Ownership

You retain ownership of your data—documents, configurations, conversations, and organizational information.

By using the Service, you grant us a limited license to process your data as necessary to provide the Service, including creating embeddings and transmitting data to AI providers. This license terminates when you delete your data or close your account.

Data may be transmitted to third-party AI providers (OpenAI, Anthropic, Google) to generate responses. We select providers with policies against training on customer data, but you should review their respective policies.

16. Intellectual Property

The Service, including its content, features, and technology, is owned by Cuneiform Chat and its licensors. You retain IP rights in content you upload.

Feedback you provide may be used to improve the Service without obligation to you. You may not use our trademarks without written consent.

17. Third-Party Services

The Service integrates with third parties subject to their own terms:

  • AI Providers: OpenAI, Anthropic, Google AI, Cohere
  • Messaging Platforms: WhatsApp Business, Meta Messenger, Telegram, Discord, Slack, Google Chat
  • Storage Integrations: Google Drive, Dropbox, OneDrive, Box
  • Payment Processing: Polar.sh

WhatsApp and Messenger integration is provided through the Meta Business Platform. By using these integrations, you agree to comply with WhatsApp Business Terms, WhatsApp Business Policy, and Meta Terms of Service.

We are not responsible for third-party service availability, content, or terms. Third-party services may change or become unavailable at any time.

18. Service Availability

We use commercially reasonable efforts to maintain availability but do not guarantee specific uptime. The Service may experience interruptions due to maintenance, third-party outages, security incidents, or circumstances beyond our control.

We may modify, suspend, or discontinue features at any time with reasonable notice for significant changes. Enterprise customers may negotiate custom SLAs.

19. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR: (A) ANY AI OUTPUT GENERATED BY THE SERVICE, INCLUDING INACCURATE, MISLEADING, HARMFUL, OR BIASED CONTENT; (B) ANY FAILURE OR CIRCUMVENTION OF PLATFORM SAFETY MEASURES; (C) ANY CLAIMS ARISING FROM END USER INTERACTIONS WITH YOUR AGENTS; (D) ANY REGULATORY FINES, PENALTIES, OR ENFORCEMENT ACTIONS RELATED TO YOUR USE OF THE SERVICE; (E) ANY DAMAGES ARISING FROM YOUR FAILURE TO COMPLY WITH APPLICABLE AI LAWS, DATA PROTECTION REGULATIONS, OR INDUSTRY-SPECIFIC REQUIREMENTS; (F) ANY DAMAGES ARISING FROM YOUR KNOWLEDGE BASE CONTENT, INCLUDING INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS; OR (G) ANY DAMAGES ARISING FROM THIRD-PARTY AI PROVIDER ACTIONS, INCLUDING MODEL CHANGES, OUTAGES, OR POLICY MODIFICATIONS.

You acknowledge that the Service relies on third-party AI models whose behavior may change without notice due to model updates, fine-tuning, or policy changes by the respective providers. We are not liable for any changes in AI Output quality, accuracy, or behavior resulting from such third-party changes.

Some jurisdictions do not allow certain limitations; some provisions may not apply to you.

20. Indemnification

You agree to indemnify, defend, and hold harmless Cuneiform Chat, 4bd Technologies, and their respective officers, directors, employees, agents, and affiliates (collectively, "Indemnified Parties") from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service, including any violation of these Terms or applicable law
  • AI Output and Agent behavior, including claims by End Users or third parties related to information, recommendations, or content generated by Your Agents
  • Knowledge Base content, including intellectual property infringement, defamation, privacy violations, or any other claims arising from content You upload or synchronize through Storage Integrations
  • End User claims, including consumer protection claims, complaints, or legal actions by End Users arising from their interactions with Your Agents
  • Regulatory actions, including fines, penalties, investigations, or enforcement actions by any regulatory body related to Your deployment or use of the Service, including violations of Applicable AI Laws, data protection regulations, or industry-specific requirements
  • Channel Platform violations, including claims, penalties, or account suspensions resulting from Your Agents' non-compliance with Channel Platform terms and policies
  • Failure to disclose, including claims arising from Your failure to disclose to End Users that they are interacting with an AI system or to provide required notices about data collection

This indemnification obligation survives termination of these Terms and Your account. We will provide You with prompt notice of any claim subject to indemnification and will cooperate with Your defense at Your expense. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, at Your expense.

21. Monitoring, Enforcement & Cooperation

  • Right to monitor: We reserve the right, but are not obligated, to monitor Agent configurations, Knowledge Base content, and Agent interactions for compliance with these Terms and applicable law.
  • Automated detection: We may employ automated tools to detect potential violations, including prohibited content, High-Risk Uses, and attempts to circumvent Platform Safety Measures.
  • Enforcement actions: Upon discovering or reasonably suspecting a violation, We may take one or more of the following actions without prior notice: issue a warning; temporarily suspend specific Agents or channel integrations; restrict Service features; suspend or terminate Your account; remove or disable access to violating content.
  • No liability for enforcement: We shall not be liable for any damages resulting from enforcement actions taken in good faith under this section.
  • Cooperation with authorities: We may disclose Your information and cooperate with law enforcement, regulatory bodies, or judicial authorities when: required by law, valid legal process, or court order; We reasonably believe disclosure is necessary to prevent harm to persons or property; or We reasonably believe Your use of the Service involves illegal activity.
  • Reporting obligations: If You become aware of any misuse of Your Agents by End Users, including attempts to elicit harmful content or bypass safety measures, You agree to promptly report such incidents to Us at legal@cuneiform.chat.
  • Post-termination data: Following termination for cause (violation of these Terms), We reserve the right to retain relevant data for a reasonable period to cooperate with investigations or legal proceedings.

22. Termination

You may terminate your account at any time by contacting support at support@cuneiform.chat. Access ends at your current billing period's conclusion; no refunds for unused time.

We may terminate or suspend accounts immediately for Terms violations, payment failures, legal requirements, or actions harmful to us or others. In such cases, access may be revoked immediately without waiting for the billing period to conclude. See Section 21 (Monitoring, Enforcement & Cooperation) for details on enforcement actions that may precede or accompany termination.

Upon termination, your access ceases and Agents are deactivated. You may request data export by contacting support (unless terminated for cause). Data will be permanently deleted after a reasonable retention period. Certain provisions survive termination.

23. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email or Service notice before taking effect. Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service.

24. Governing Law & Disputes

These Terms are governed by the laws of Bangladesh. Before formal proceedings, contact us at legal@cuneiform.chat to attempt informal resolution.

TO THE EXTENT PERMITTED BY LAW, DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS CLASS ACTIONS.

Claims must be filed within one (1) year of arising or be forever barred.

25. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid, enforceable provision that most closely reflects the original intent.

26. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to: natural disasters, pandemics, government actions or regulations, cyberattacks, third-party AI provider outages or model changes, internet or telecommunications failures, embargoes, or sanctions.

Force majeure does not excuse Your payment obligations or Your responsibility for Agent behavior during or after such events.
